1. Acceptance of Terms

By accessing or using the VOT XPRESS enterprise logistics and fulfillment platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and VOT XPRESS Limited ("VOT XPRESS", "we", "our", or "us"). If you do not agree to these Terms, you must not use the Platform.

Access to the Platform is granted exclusively through administrator invitation. Unauthorized access or use is strictly prohibited.

2. Platform Description

VOT XPRESS is an enterprise-grade logistics, courier, fulfillment, warehouse, and merchant management platform designed for businesses operating in Kenya and across East Africa. The Platform provides tools for order management, dispatch operations, fleet management, warehouse inventory, merchant onboarding, finance management, and business intelligence.

3. User Accounts and Access

• All user accounts are created exclusively by VOT XPRESS administrators. No self-registration is permitted.
• You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.
• You must immediately notify VOT XPRESS of any unauthorized use of your account or any security breach.
• Each user is assigned a specific role with defined permissions. You must not attempt to access features or data outside your assigned role.
• Sharing account credentials with other individuals is strictly prohibited.

4. Acceptable Use

You agree to use the Platform only for lawful business purposes and in accordance with these Terms. You must not:

• Use the Platform for any illegal, fraudulent, or unauthorized purpose
• Attempt to gain unauthorized access to any part of the Platform or its systems
• Introduce malware, viruses, or any malicious code into the Platform
• Reverse engineer, decompile, or attempt to extract the source code of the Platform
• Use automated tools to scrape, crawl, or extract data from the Platform without authorization
• Interfere with or disrupt the integrity or performance of the Platform
• Impersonate any person or entity or misrepresent your affiliation
• Violate any applicable local, national, or international laws or regulations

5. Merchant Obligations

Merchants using the VOT XPRESS Platform agree to:

• Provide accurate and complete business information during onboarding and keep it updated
• Ensure all products listed comply with applicable laws and regulations
• Honor all orders placed through the Platform in a timely manner
• Maintain adequate inventory levels and update stock information accurately
• Comply with VOT XPRESS operational procedures and service level agreements
• Pay all applicable fees and charges in accordance with the agreed pricing schedule

6. Intellectual Property

The VOT XPRESS Platform, including its design, software, features, content, trademarks, and logos, is owned by VOT XPRESS Limited and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the Platform solely for your authorized business purposes. No rights are transferred to you beyond this limited license.

7. Data and Confidentiality

All data processed through the Platform, including order data, customer information, financial records, and operational data, is confidential. You must not disclose, share, or use such data for any purpose other than your authorized business operations on the Platform. Our data handling practices are described in our Privacy Policy.

8. Service Availability

VOT XPRESS aims to provide continuous platform availability but does not guarantee uninterrupted service. We reserve the right to perform scheduled maintenance, updates, and emergency repairs that may temporarily affect platform availability. We will endeavor to provide advance notice of planned maintenance where possible.

9. Limitation of Liability

To the maximum extent permitted by applicable law, VOT XPRESS shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Platform. Our total liability for any claim arising from these Terms or your use of the Platform shall not exceed the fees paid by you to VOT XPRESS in the three months preceding the claim.

10. Account Suspension and Termination

VOT XPRESS reserves the right to suspend or terminate any account at its discretion, including for violation of these Terms, non-payment of fees, fraudulent activity, or any conduct deemed harmful to the Platform or other users. Upon termination, your right to access the Platform ceases immediately.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Kenya. Any disputes arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts of Nairobi, Kenya.

12. Changes to Terms

VOT XPRESS reserves the right to modify these Terms at any time. We will notify users of material changes via email or platform notification. Continued use of the Platform after changes take effect constitutes your acceptance of the revised Terms.
